These Terms of Service ("Terms") govern your access to and use of the Rut Market website, mobile applications, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Platform.

1. Platform Role and Scope

Rut Market operates an online marketplace that connects independent sellers ("Sellers") with buyers ("Buyers"). The Platform provides software and tools to facilitate listings, communication, and transactions between Sellers and Buyers.

The Platform does not own, produce, process, store, inspect, certify, label, transport, or distribute any products listed for sale. All products are offered and sold solely by independent Sellers.

2. Definitions

"Seller" means any individual or entity that lists products for sale on the Platform.

"Buyer" means any individual or entity that purchases or attempts to purchase products through the Platform.

"Products" means any goods listed by Sellers, including food and agricultural products.

"Food Products" means raw or minimally processed food items, including meat, poultry, eggs, dairy, and produce.

"Regulated Products" means Products subject to federal, state, or local licensing, inspection, or permitting requirements.

3. Seller Obligations and Representations

By registering as a Seller and listing Products on the Platform, you represent, warrant, and agree that:

  • You are solely responsible for ensuring that all Products you offer comply with all applicable federal, state, and local laws and regulations, including but not limited to food safety, labeling, licensing, inspection, handling, storage, and transportation requirements.
  • You hold, and will maintain in good standing, all permits, licenses, registrations, inspections, approvals, or lawful exemptions required to legally produce, process, sell, and distribute your Products.
  • You will not list or sell any Product that you are not legally permitted to sell in the jurisdiction where the transaction occurs.
  • You are the seller of record for all Products you list and sell through the Platform.
  • You understand and agree that the Platform does not inspect, certify, approve, or guarantee the safety, legality, quality, or regulatory compliance of any Product.
  • You agree to immediately remove or cease offering any Product if you become aware that it does not comply with applicable laws or these Terms.
  • Any false, misleading, or incomplete representation may result in immediate suspension or termination of your Seller account.

4. Product-Specific Seller Acknowledgments

4.1 Meat and Poultry

If you offer meat or poultry Products, you represent and warrant that all animals have been slaughtered and processed in accordance with applicable federal and state laws, including any required inspection or lawful exemption, and that you are legally permitted to sell such Products to consumers in the applicable jurisdiction.

4.2 Dairy Products

If you offer dairy Products, you represent and warrant that all dairy Products are produced, processed, and sold in compliance with applicable dairy laws, including pasteurization, permitting, and labeling requirements. Any raw dairy Products are offered only where explicitly permitted by law.

4.3 Eggs

If you offer eggs, you represent and warrant that you comply with all applicable egg handling, labeling, refrigeration, registration, and sale requirements in the jurisdictions where transactions occur.

4.4 Produce

If you offer produce, you represent and warrant that such Products are grown, handled, and sold in compliance with applicable agricultural and food safety laws.

5. Platform Non-Certification Disclaimer

The Platform does not inspect, certify, approve, verify, or endorse Sellers, Products, production methods, or regulatory compliance.

No statement, listing, or feature on the Platform should be interpreted as a representation or guarantee that any Product meets any specific safety, inspection, or regulatory standard.

6. Buyer Acknowledgments and Assumption of Risk

By purchasing Products through the Platform, Buyers acknowledge and agree that:

  • Products are sold by independent Sellers, not by the Platform.
  • The Platform does not verify licenses, inspections, or regulatory compliance of Sellers or Products.
  • Food Products, including raw or minimally processed foods, may carry inherent risks.
  • Buyers are responsible for evaluating Products, communicating with Sellers, and determining whether Products are appropriate for their personal use or consumption.
  • To the maximum extent permitted by law, Buyers assume all risks associated with the purchase, handling, preparation, and consumption of Products.

7. Prohibited Conduct

Sellers and Buyers agree not to:

  • List or sell Products in violation of applicable laws
  • Misrepresent Product origin, safety, or legality
  • Circumvent regulatory requirements
  • Use the Platform for unlawful purposes

8. Takedown, Suspension, and Cooperation

The Platform reserves the right, but not the obligation, to:

  • Remove or disable listings
  • Suspend or terminate accounts
  • Restrict access to the Platform
  • Cooperate with regulators or law enforcement

The Platform may take such actions at any time, with or without notice, in its sole discretion.

9. Indemnification

Sellers agree to indemnify, defend, and hold harmless the Platform, its owners, officers, employees, and affiliates from and against any claims, damages, losses, liabilities, penalties, costs, or expenses arising out of or related to:

  • Products listed or sold by the Seller
  • The Seller's failure to comply with applicable laws
  • Any misrepresentation or breach of these Terms

10. Limitation of Liability

To the maximum extent permitted by law, the Platform shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to Products, transactions, or use of the Platform.

11. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.

13. Modifications

The Platform may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.
